Terms & Conditions

Last updated:

These Terms & Conditions ("Terms") apply to your use of the website at xynera.solutions ("Site") and to any services provided by Xynera ("we", "us", "our"). By accessing or using the Site, or by engaging us for work, you agree to these Terms. If you do not agree, please do not use the Site.

Please also read our Privacy Policy, which explains how we handle personal information.

1. Use of the Website

You may use this Site for lawful purposes only. You must not:

  • Attempt to gain unauthorised access to any part of the Site, its servers, or its infrastructure
  • Transmit any content that is unlawful, harmful, abusive, or misleading
  • Introduce viruses, malware, or any code intended to disrupt or damage the Site
  • Use automated tools to scrape, crawl, or copy Site content without our written permission
  • Probe, scan, or test the security of the Site without our written permission
  • Impersonate Xynera or any of its staff

We reserve the right to restrict or terminate access to the Site for any user at any time without notice.

2. Services

Xynera provides web design, web development, mobile application development, UI/UX design, AI and automation solutions, and related digital services.

This Site is a marketing and contact platform. Nothing on it constitutes an offer or a binding contract for services. All project scope, deliverables, timelines, pricing, and payment terms are defined in a separate written proposal or client agreement agreed between Xynera and the client before work begins.

Submitting the contact form, or exchanging emails or messages with us, does not create a contract or any obligation on either party. Descriptions of services, example work, and any estimates given before a signed agreement are for information only and may change.

3. Client Engagements

Where we agree to carry out work, the following apply unless the written client agreement says otherwise. If there is a conflict between these Terms and a signed client agreement, the client agreement prevails.

  • Scope: Work is limited to what is described in the agreed proposal. Requests outside that scope may be quoted and scheduled separately.
  • Client responsibilities: You agree to provide the content, assets, access, feedback, and approvals we reasonably need, in good time. Delays on your side may move delivery dates.
  • Content you provide: You confirm you own, or have permission to use, all text, images, logos, and other material you give us, and that it does not infringe anyone else's rights.
  • Payment: Fees, deposits, milestones, and due dates are set out in the proposal. We may pause work or withhold final delivery while payments are overdue.
  • Third-party services: Projects may rely on third-party tools such as hosting, domains, plugins, payment gateways, or APIs. Their costs and terms are separate from ours, and we are not responsible for their availability or changes.
  • Cancellation: Either party may end an engagement as set out in the client agreement. Fees for work completed up to the date of cancellation remain payable.

4. Intellectual Property

Site content

All content on this Site, including text, graphics, the Xynera name and logo, design, and code, is owned by or licensed to Xynera and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

Client work

Ownership of deliverables produced for a client project is governed exclusively by the client agreement for that project. Unless that agreement states otherwise, ownership of final deliverables transfers to the client only once all fees due have been paid in full. Nothing in these Terms grants you any rights to client work.

Our tools and portfolio

We keep ownership of our pre-existing tools, code libraries, templates, and methods, including any we reuse across projects. Unless a client agreement says otherwise, we may show completed work in our portfolio and marketing materials, excluding any confidential information.

5. Confidentiality

Where a client shares non-public business information with us in the course of a project, we will treat it as confidential, use it only to deliver the agreed services, and not disclose it to others except as needed to do the work or as required by law. This does not apply to information that is already public or that you have asked us to publish.

6. Disclaimer of Warranties

This Site is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Information on this Site is for general purposes only. Nothing on it constitutes professional legal, financial, or technical advice.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Xynera will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from your use of, or inability to use, this Site.

Our total liability for any claim arising from your use of this Site is limited to the greater of (a) the amount you paid us in the three months preceding the claim or (b) USD $100.

Liability for services delivered under a client agreement is governed by that agreement.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

8. Indemnity

You agree to indemnify and hold Xynera harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or content you submit or provide to us that infringes the rights of others.

9. Third-Party Links

This Site may contain links to third-party websites. These links are provided for convenience only. We do not control those sites and are not responsible for their content, privacy practices, or availability. Linking to a third-party site does not imply endorsement.

10. General

  • Severability: If any part of these Terms is found to be unenforceable, the rest remains in effect.
  • No waiver: Failing to enforce any provision is not a waiver of our right to do so later.
  • Entire agreement: These Terms, together with our Privacy Policy and any signed client agreement, are the entire agreement between you and Xynera on their subject matter.
  • Events beyond our control: We are not liable for delay or failure caused by events outside our reasonable control, such as outages, natural events, or third-party service failures.
  • Assignment: You may not transfer your rights under these Terms without our written consent.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Site after a change constitutes your acceptance of the revised Terms. Changes do not affect the terms of any client agreement already signed.
